When Do W-9s Get Sent Out: Timing, Withholding, and Penalties

There is no IRS deadline for when W-9s get sent out. The form has no annual mailing date the way a W-2 does. The practical rule is simple: a business should request a W-9 from a contractor or vendor before issuing the first payment, because the taxpayer information on that form feeds the 1099 you’ll owe the IRS and the recipient by January 31 of the following year.

Collect It Before the First Payment

The timing is entirely up to the business requesting the form. The IRS doesn’t set a specific date to send or collect a W-9. What it does set is a hard downstream deadline for the 1099s that depend on the W-9’s data, and that deadline drives everything else.

The cleanest approach is to build W-9 collection into vendor onboarding. Many businesses refuse to issue a purchase order or sign a contract until the completed form is returned. Once a contractor has been paid, their incentive to respond quickly drops to zero. Once the calendar flips to January, you’re chasing people who have no reason to help you meet your filing deadline.

The form covers anyone you’ll pay $600 or more during the year for services, $600 or more for rent, or $10 or more for royalties.1Internal Revenue Service. Am I Required to File a Form 1099 or Other Information Return If you’re not sure whether a vendor will cross the threshold by year-end, collect it anyway. The cost of holding an unused W-9 is nothing; the cost of needing one you don’t have is real.

Verify the TIN Before You File

Even a returned W-9 can carry a wrong number. The IRS runs a free TIN Matching service that lets authorized payers verify name-and-TIN combinations before filing 1099s, one at a time or in bulk.2Internal Revenue Service. Documenting Your Request

Federal regulation creates a safe harbor from penalties if you can show you made reasonable efforts to obtain and verify a correct TIN.3eCFR. 26 CFR 301.6724-1 – Reasonable Cause In practice that means dated W-9 requests, copies of follow-up emails, and a record of solicitations. Hoping a contractor eventually mails it in is not due diligence.

The January 31 Deadline That Drives the Timing

The urgency comes from the filings the W-9 supports. Payments of $600 or more for services to a non-employee go on Form 1099-NEC. Federal law requires you to file 1099-NEC with the IRS and deliver a copy to the contractor by January 31 of the following year, with no automatic extension.4Office of the Law Revision Counsel. 26 USC 6071 – Time for Filing Returns and Other Documents

For Form 1099-MISC, which covers rent, royalties, and other categories, the recipient’s copy is also due by January 31. The IRS copy is due by February 28 on paper or March 31 electronically.5Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC (04/2025)

Working backward from those dates, mid-January is the latest a payer can afford to be missing a W-9 without real trouble. If the TIN isn’t in hand by then, you’re either filing a 1099 with a blank taxpayer number or missing the filing deadline outright.

What Happens If You Wait Too Long

Two things can go wrong when a W-9 isn’t collected in time, and both cost money.

Backup Withholding at 24%

When a contractor doesn’t furnish a TIN, or the IRS notifies you that the TIN on file is wrong, you’re required to start withholding 24% of every payment and remit it to the IRS.6Internal Revenue Service. Backup withholding applies when the payee failed to furnish a TIN, or when the IRS notifies you that the TIN they gave you doesn’t match its records. Two additional triggers, underreporting notices and certification failures, apply only to interest and dividend payments.

If a contractor writes “Applied For” on the W-9 because their TIN application is pending, that entry gets a 60-day grace period before backup withholding starts, but only for interest and dividend payments. You deposit the withheld funds by electronic funds transfer and report the total annually on Form 945.9Internal Revenue Service. About Form 945, Annual Return of Withheld Federal Income Tax The contractor can claim the withheld amount as a credit on their return, so it isn’t lost, but the immediate cash-flow hit is real and contractors dislike it.

Late or Incorrect 1099 Penalties

Filing a 1099 late, or filing it with a missing TIN because no W-9 was ever collected, triggers a penalty per return. For returns due in 2026:10Internal Revenue Service. Information Return Penalties

  • Up to 30 days late: $60 per return
  • 31 days late through August 1: $130 per return
  • After August 1 or not filed at all: $340 per return
  • Intentional disregard: $680 per return with no maximum cap

Small businesses get lower annual caps on the first three tiers. The intentional disregard tier has no ceiling.

Contractors face their own penalty. A payee who refuses to furnish a TIN when properly asked can be charged $50 per failure, up to $100,000 per calendar year.11Office of the Law Revision Counsel. 26 USC 6723 – Failure to Comply With Other Information Reporting Requirements

When You Need a Fresh W-9

A completed W-9 doesn’t expire. Once you have one on file, you can keep using it as long as the information stays accurate. You need a new one only when something changes:

  • The contractor changes their legal name, incorporates, or converts to an LLC taxed as a corporation.
  • The contractor gets a new EIN or moves from a Social Security number to an EIN.
  • The IRS sends you a CP2100 or CP2100A notice saying the TIN on file doesn’t match its records. You must request a corrected W-9 or start backup withholding.
  • The address on file is out of date, which matters less for the IRS filing than for making sure the 1099 actually reaches the contractor.

Some businesses request updated W-9s every year as a precaution. That’s a defensible internal policy, but nothing in the tax code requires it.

Foreign Contractors Use a Different Form

The W-9 is only for U.S. persons and entities. Foreign individuals provide Form W-8BEN, and foreign entities provide Form W-8BEN-E.12Internal Revenue Service. A tax treaty may reduce that rate, but only if the payee documents their status on the W-8.
