What Happens If You Send a 1099 to a Corporation by Mistake?

If you sent a 1099 to a corporation by mistake, the fix is to file a corrected version of the same form with the “CORRECTED” box checked and all dollar amounts changed to zero, then tell the corporation to disregard the original. The IRS treats an unnecessary 1099 as an incorrect information return, and correcting it promptly keeps penalties low and prevents the recipient from reporting phantom income.

First, Confirm the Corporation Was Actually Exempt

C-corporations and S-corporations are generally excluded from 1099 reporting for ordinary services because they file their own corporate income tax returns on Form 1120 or 1120-S.1Internal Revenue Service. About Form 1120-S, U.S. Income Tax Return for an S Corporation Form 1099-NEC exists to report payments of $600 or more for services performed by someone who is not your employee, and the reporting requirement targets individuals, sole proprietors, partnerships, and estates.2Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC The same corporate exemption covers most items reported on Form 1099-MISC, including rents.3Internal Revenue Service. About Form 1099-MISC, Miscellaneous Information

Before you file a correction, make sure the payment doesn’t fall into one of the exceptions that require reporting even to a corporation. If it does, the original 1099 was correct and no correction is needed. The exceptions on Form 1099-NEC are attorney fees of $600 or more for legal services (Box 1) and payments by a federal executive agency to a corporation for services (Box 1). The exceptions on Form 1099-MISC are medical and health care payments of $600 or more (Box 6), gross proceeds paid to an attorney such as settlement payments (Box 10), substitute payments in lieu of dividends (Box 8), and cash payments for fish or other aquatic life purchased for resale from someone in the fishing business (Box 11).2Internal Revenue Service. Legal fees are the exception people miss most often. A $600 payment to an incorporated law firm for legal services still triggers a 1099-NEC. If the payment you reported wasn’t in one of these categories and the recipient’s W-9 showed a C-corporation or S-corporation classification, the 1099 was issued in error and needs to be corrected.

File the Corrected Return

The IRS General Instructions for Certain Information Returns treat this situation as Error Type 1: “a return was filed when one should not have been filed.” It’s the simpler of the two correction paths and needs only a single corrected return, not a two-step replacement.5Internal Revenue Service. General Instructions for Certain Information Returns (2025)

Prepare a new information return on the same form you originally filed, whether that was 1099-NEC or 1099-MISC. Check the “CORRECTED” box at the top. Enter the payer and recipient information exactly as it appeared on the original. Change every dollar amount to zero. That single return is the whole correction. The IRS will match it against the original and treat the reported income as eliminated.

Don’t confuse this with the “VOID” box. VOID only works for returns you catch before submission to the IRS, such as a form you’re about to print and mail. Once a return has already been transmitted, checking VOID does nothing to correct it.5Internal Revenue Service. General Instructions for Certain Information Returns (2025)

One boundary worth flagging. If your mistake wasn’t just an unnecessary filing but also involved the wrong recipient TIN, wrong name, or wrong form type, that’s Error Type 2 and needs two returns: a first one zeroing out the bad record, followed by a fresh original with the correct information.5Internal Revenue Service. General Instructions for Certain Information Returns (2025) Most mistaken-to-a-corporation situations are the simpler Error Type 1.

If You Filed on Paper

Submit the corrected return with a new Form 1096 transmittal summarizing that single corrected return. Do not attach a copy of the original incorrect 1099.5Internal Revenue Service. General Instructions for Certain Information Returns (2025)

If You E-Filed

Corrections to an e-filed return must also be filed electronically. The IRS Information Returns Intake System (IRIS) accepts corrections through its Taxpayer Portal.6Internal Revenue Service. E-file Information Returns With IRIS Also keep the e-file threshold in mind: if you’re filing 10 or more information returns of any type during the calendar year, all of them must be e-filed, and that count aggregates across return types including W-2s.7Internal Revenue Service. Notify the Corporation

Send the corporation a copy of the corrected 1099 showing zero dollars, along with a short letter explaining the original was issued in error because the recipient is exempt from 1099 reporting as a corporation. This step is easy to skip and costs more than it seems. Without notice, the corporation’s accountant may pick up the original 1099 as income or spend hours reconciling records that don’t need to be reconciled.

What This Might Cost You

Penalties for incorrect information returns are assessed per return and depend on how quickly you correct the error. For returns due in 2026:8Internal Revenue Service. Information Return Penalties

  • Corrected within 30 days of the due date: $60 per return.
  • Corrected after 30 days but by August 1: $130 per return.
  • Corrected after August 1, or not corrected: $340 per return.
  • Intentional disregard: $680 per return or 10% of the amount that should have been reported, whichever is greater, with no annual cap.

A single 1099 mistakenly issued to a corporation and corrected quickly is a small exposure. Where the numbers get serious is when a business systematically miscodes vendors and files dozens or hundreds of incorrect returns before catching it. Annual caps limit total exposure at each tier, with lower caps for businesses whose average annual gross receipts over the prior three tax years are $5 million or less.5Internal Revenue Service. Reasonable Cause Waiver

The IRS can waive penalties entirely if you show reasonable cause and the absence of willful neglect. That requires demonstrating that significant mitigating factors existed or the failure was beyond your control, and that you acted responsibly both before and after the error.9eCFR. 26 CFR 301.6724-1 – Reasonable Cause Acting responsibly generally means correcting the error within 30 days of discovering it and having reasonable procedures in place to prevent it. A one-time mistake corrected quickly, with a documented W-9 collection process behind it, is the strongest version of that argument.

If You’re the Corporation That Received One

Contact the issuer immediately and ask them to file a corrected 1099 showing zero. Put the request in writing and keep the record. Most payers will cooperate and the problem resolves without further steps.

If the payer refuses or you can’t reach them, don’t ignore the form. The IRS matches reported amounts against filed returns, and an unexplained gap can trigger a notice. The approach the IRS has published for erroneous 1099-Ks illustrates the workaround: report the erroneous amount as other income on Schedule 1 (Form 1040), then enter an equal offsetting adjustment on the same schedule, producing a net zero effect on adjusted gross income.10Internal Revenue Service. Actions to Take if a Form 1099-K Is Received in Error or With Incorrect Information For corporations filing Form 1120 or 1120-S, the same principle applies: document the error and make sure phantom income doesn’t inflate your reported figures. A tax professional can help structure the offset on a corporate return.

Preventing a Repeat With W-9 Verification

The reliable fix is upstream. Collect a completed Form W-9 from every vendor before you pay them for services.11Internal Revenue Service. About Form W-9, Request for Taxpayer Identification Number and Certification Box 3 on the W-9 is where the vendor marks their federal tax classification, and that single checkbox drives your 1099 decision for non-exempt payments.

Validate the name-and-TIN combination through the IRS TIN Matching Program before filing information returns. The program checks the payee’s name and TIN against IRS records in advance, catching mismatches before they turn into penalty notices.12Internal Revenue Service. Taxpayer Identification Number (TIN) Matching

When a W-9 shows a corporate classification, your accounting system should suppress 1099 generation for that vendor automatically, but only for standard services. Build a secondary flag for the exception categories: legal fees, medical and health care payments, gross proceeds paid to attorneys, substitute dividend payments, fish purchases for resale, and federal executive agency payments. Those still require a 1099 regardless of corporate status. The goal is a vendor setup where the 1099 decision comes out of verified W-9 data rather than someone’s assumption about what a given vendor is.
