A single-member LLC needs an EIN only when it has employees, owes excise taxes, withholds on payments to a non-resident alien, or elects to be taxed as a corporation or S corporation. Without any of those triggers, the IRS treats your LLC as a disregarded entity and lets you use your Social Security number for federal tax purposes.1Internal Revenue Service. When You Can Use Your SSN Instead
By default, the IRS classifies a single-member LLC as a disregarded entity. Your business income and deductions flow to your Form 1040, usually on Schedule C for active businesses or Schedule E for rental income, and your SSN serves as the taxpayer identification number on those filings.1Internal Revenue Service. If you’re a solo consultant, freelancer, or online seller with no staff and no excise obligations, the IRS says outright that you don’t need an EIN.1Internal Revenue Service. Single Member Limited Liability Companies Your SSN handles it.
When an EIN Is Required
Several situations turn the EIN from optional to mandatory. You must obtain one if your single-member LLC:
- Hires employees. An EIN is required to withhold federal income tax, issue W-2s, and pay employment taxes.2Internal Revenue Service. Employer Identification Number
- Owes excise taxes. Businesses dealing in fuel, heavy highway vehicles, sport fishing equipment, firearms, or certain wagering activities file excise returns that require an EIN.3Internal Revenue Service. Excise Tax
- Withholds taxes on payments to a non-resident alien, such as a foreign independent contractor.2Internal Revenue Service. Employer Identification Number
- Elects to be taxed as a C corporation (Form 8832) or S corporation (Form 2553). The IRS won’t process either election without an EIN on file.4Internal Revenue Service. Form 8832 Entity Classification Election
The Employment Tax Rule That Trips Owners Up
Here’s where the disregarded-entity label gets misleading. For income tax, your LLC is you. For employment tax and certain excise taxes, it isn’t. For wages paid after January 1, 2009, the LLC itself must use its own name and its own EIN when reporting and paying employment taxes.1Internal Revenue Service. So even though you keep filing Schedule C under your SSN, payroll filings need the LLC’s EIN. If you started out solo and later hire your first worker, apply for the EIN before you run payroll.
Electing Corporate or S Corporation Treatment
Some owners change how their LLC is taxed to reduce self-employment tax or access corporate-level deductions. Both routes require an EIN.
To be taxed as a C corporation, you file Form 8832. To be taxed as an S corporation, you file Form 2553. In each case, you need an EIN on file before the IRS will accept the election. If your LLC already has an EIN, keep using it; the IRS does not issue a new number when your tax classification changes.4Internal Revenue Service. Why Owners Get an EIN Even When It’s Optional
The IRS itself notes that you can request an EIN for banking or state tax purposes even when federal tax rules don’t require one.2Internal Revenue Service. Employer Identification Number Three reasons come up most often.
Opening a Business Bank Account
Banks generally ask for an EIN when you open a business account. The SBA lists it among the standard documents, though sole proprietors can sometimes substitute an SSN.5U.S. Small Business Administration. Open a Business Bank Account Having the EIN ready avoids a back-and-forth about whether your LLC qualifies for that exception. Keeping business funds separate also protects the liability shield your LLC provides; commingling personal and business money is one of the fastest ways to lose it in court.
Keeping Your SSN Off Forms
Every W-9, vendor form, or credit application you sign with your SSN adds exposure. The IRS warns that tax-related identity theft happens when someone uses a stolen SSN to file a fraudulent return and recommends sharing it only when absolutely necessary.6Internal Revenue Service. It doesn’t eliminate the risk, since EINs are also personally identifiable information, but it puts a layer between your business dealings and your personal identity.
Building Business Credit
An EIN is typically a prerequisite for business credit cards, loans, and lines of credit. Lenders and credit bureaus use it to track your company’s credit history separately from yours. If financing is on the horizon, an established EIN gives you a head start.
When You Need a New EIN Later
If you already have an EIN and circumstances change, the IRS is specific about when a fresh one is required. You need a new EIN if you:
- Terminate the existing LLC and form a new corporation or partnership.
- Own a single-member LLC and need to file excise or employment taxes for the first time, if you’ve been using your SSN.
You do not need a new EIN if you change your business name, move locations, elect corporate or S corporation treatment, or convert a partnership to an LLC classified as a partnership.7Internal Revenue Service. One related duty: if your LLC’s “responsible party” changes, you must report it to the IRS within 60 days using Form 8822-B. That update doesn’t produce a new EIN, but skipping it can create problems later.8Internal Revenue Service. Instructions for Form SS-4
How to Apply
The IRS charges nothing for an EIN. Any site asking for payment is a third-party service, not the IRS. Three application methods are available:
- Online. The IRS application runs Monday through Friday, 7:00 a.m. to 10:00 p.m. Eastern. You receive the EIN immediately on completion, and the session times out after 15 minutes of inactivity, so gather your information first.9Internal Revenue Service. Instructions for Form SS-4
- Fax. Send a completed Form SS-4 to the appropriate IRS office. Expect the EIN within about four business days.10Internal Revenue Service. Where to File Your Taxes for Form SS-4
- Mail. Send Form SS-4 to the IRS and allow four to five weeks.9Internal Revenue Service. Instructions for Form SS-4
The application asks for the responsible party’s name and taxpayer identification number (SSN or ITIN), the LLC’s legal name and address, the entity type, and the reason for applying. The responsible party must be an individual, not another business, and for a single-member LLC that’s almost always the sole owner.8Internal Revenue Service.
