How to Renew a Tax Exemption Certificate: Form 990 and State Steps

To renew a tax exemption certificate, first identify which one you hold. Federal tax-exempt status under Section 501(c) has no renewal application and no expiration date, but you keep it alive by filing a Form 990 series return every year; miss three years in a row and the IRS revokes it automatically.1Internal Revenue Service. The steps below cover both.

Keep Federal 501(c) Status by Filing Form 990 Each Year

There is no federal renewal form. The annual information return is what tells the IRS your organization still qualifies, and most exempt organizations other than churches and certain church-affiliated organizations must file some version of Form 990 each year.1Internal Revenue Service. Which form you file depends on size, and filing the wrong one doesn’t count.

If your organization grew past a threshold and kept filing the shorter form, those years may not satisfy the requirement and will count toward the three-year revocation clock.

The Annual Deadline

Form 990 series returns are due by the 15th day of the 5th month after the close of your accounting period.4Internal Revenue Service. Annual Exempt Organization Return: Due Date For a calendar-year organization, that’s May 15.

Keep Your Contact Information Current

The IRS sends a warning notice after two consecutive missed years, but if your address is outdated you may never see it.6Office of the Law Revision Counsel. 26 USC 6033 – Returns by Exempt Organizations File Form 8822-B to report a change of mailing address, business location, or responsible party. A change in responsible party must be reported within 60 days.7Internal Revenue Service. What Late Filing Costs

Under 26 U.S.C. ยง 6652(c), the base penalty is $20 per day, capped at the lesser of $10,000 or 5 percent of gross receipts. Larger organizations (gross receipts over $1,000,000) face $100 per day up to $50,000. These amounts adjust annually for inflation; for returns due in 2026, the smaller-organization penalty is $25 per day (capped at the lesser of $13,000 or 5 percent of gross receipts), and the larger-organization penalty is $130 per day up to $65,000. If You Missed Three Years and Status Was Revoked

Three consecutive years of missed filings triggers automatic revocation on the due date of the third missed return.1Internal Revenue Service. Automatic Revocation of Exemption There is no discretion; the statute makes it mandatory.6Office of the Law Revision Counsel. 26 USC 6033 – Returns by Exempt Organizations Once revoked, the organization is taxable, donations are no longer deductible, and the revocation appears on a public IRS list.

Reinstatement means filing a new application (Form 1023, 1023-EZ, 1024, or 1024-A) with the user fee. Revenue Procedure 2014-11 sets out four paths.9Internal Revenue Service. Automatic Revocation – How to Have Your Tax-Exempt Status Reinstated

Streamlined retroactive reinstatement. The simplest path, open to organizations that were eligible to file Form 990-EZ or 990-N during the three years at issue and have not been previously revoked. Apply within 15 months of the later of your CP-120A revocation letter date or the date you appeared on the IRS revocation list. Late-filing penalties for the three missed years are waived if you file the overdue returns with the application.

Retroactive reinstatement within 15 months. For organizations required to file the full Form 990 or Form 990-PF, or that have been revoked before. Same 15-month window, but you must include a written statement showing reasonable cause for failing to file in at least one of the three missed years, and file all overdue returns marked “Retroactive Reinstatement.”

Retroactive reinstatement after 15 months. Still possible, but you must show reasonable cause for all three consecutive years, not just one.

Non-retroactive reinstatement. If you can’t establish reasonable cause, exempt status is restored only from the date the IRS receives the application. Donations during the gap are not deductible.

The IRS evaluates reasonable cause by whether the organization exercised ordinary business care.10Internal Revenue Service. Processing tracks initial applications. The IRS reports 80 percent of Form 1023-EZ determinations issue within 22 days; 80 percent of Form 1023 determinations take up to 191 days.11Internal Revenue Service. Where’s My Application for Tax-Exempt Status?

Renewing a State Sales Tax Exemption Certificate

State certificates are the ones that actually get renewed. Validity periods vary widely. Some states issue certificates with no set expiration as long as your information stays current; others require renewal on cycles ranging from annually to every ten years. Check the certificate itself and the issuing state’s department of revenue for its rules.

The renewal steps are similar across states:

  • Confirm the expiration date on your current certificate.
  • Locate the renewal form on the issuing state’s department of revenue website.
  • Submit updated organizational information and proof of continued eligibility.
  • Pay any fee. In most states the fee is minimal or zero.

If a state certificate lapses, both sides of a purchase can be exposed. Your organization may owe back sales tax on purchases after the expiration date, and vendors that accepted the expired certificate may be liable for uncollected tax. Calendar every state’s renewal date well in advance.

Multi-State Purchases

Organizations buying in several states can use the Multistate Tax Commission’s Uniform Sales and Use Tax Resale Certificate, which 36 states have indicated they accept.12Multistate Tax Commission. California, for example, limits it to resale purchases only. Verify current acceptance with each state’s revenue department before you rely on it, since state policies can change without notice to the Commission.

Tracking Multiple Certificates

Keep a running list of every active certificate with the issuing state, expiration date, and renewal requirements. When a certificate covers ongoing purchases from a specific vendor, both you and the vendor share responsibility for keeping it current and correctly completed.

Boundaries to Note

Churches and certain church-affiliated organizations are exempt from the annual filing requirement and are not subject to automatic revocation for non-filing.1Internal Revenue Service.
