To change the responsible party with the IRS, file Form 8822-B by mail within 60 days of the change. The form is one page, cannot be filed electronically, and goes to one of two IRS processing centers depending on where your business is located. There is no filing fee, and the IRS will not send a confirmation letter when the update is processed.
Who Counts as the Responsible Party
Before you fill anything in, be certain you’re naming the right person. The IRS defines the responsible party as the individual who ultimately owns or controls the entity, or who exercises ultimate effective control over it. Practically, that means the person with authority over the entity’s funds and assets, whoever can actually direct how money moves.1Internal Revenue Service. Instructions for Form SS-4 Titles do not settle it. A vice president who makes every financial decision is the responsible party; a CEO who signs nothing is not.
The responsible party must be an individual, not another entity. The only exception is for government entities, which may list an agency or agency representative.2Internal Revenue Service. Get an Employer Identification Number Who qualifies by entity type:
- Corporations: the principal officer with actual financial control.
- Partnerships: a general partner.
- Trusts: the grantor, owner, or trustor.
- Decedent estates: the executor, administrator, or personal representative.
- Tax-exempt organizations: the principal officer as defined in the Form 990 instructions.
For a single-member LLC that is disregarded for tax purposes, the owner’s SSN serves as the taxpayer identification number, so the owner is the responsible party by default. When the 60-Day Clock Starts
The IRS requires notification within 60 days of a change in the person who ultimately controls the entity.3Internal Revenue Service. Form 8822-B – Change of Address or Responsible Party – Business Common triggers include a majority owner selling their stake, the death or resignation of the person previously listed, a merger or acquisition that reassigns financial control, and internal leadership changes that shift who actually directs the entity’s funds.
The clock starts on the date of the change itself, not the date the board formally acknowledges it. If a majority owner dies on March 1 and control passes that day, the filing deadline is late April. Waiting for the next board meeting or the next annual filing puts you outside the window.
Filling Out Form 8822-B
Form 8822-B is a one-page form. Download the current version from the IRS website every time, since the IRS periodically updates forms and mailing addresses.4Internal Revenue Service. About Form 8822-B, Change of Address or Responsible Party – Business
The top of the form asks for the entity’s legal name, current mailing address, and EIN. This information has to match what the IRS already has on file exactly. A mismatch in the entity name or EIN will delay processing or cause an outright rejection. If the entity’s legal name has changed and you haven’t reported that change yet, resolve the name change before or alongside the responsible party update.
For the responsible party change, the two key fields are:
- Line 8: the new responsible party’s full legal name.
- Line 9: the new responsible party’s SSN, ITIN, or EIN.
The form does not ask for the previous responsible party’s information.3Internal Revenue Service. Form 8822-B – Change of Address or Responsible Party – Business Check the box indicating that the responsible party is changing, and enter the date the new person took control. A single transposed digit in the SSN or ITIN will cause the form to be returned. Double-check every number before mailing.
An authorized representative must sign. For a corporation, a corporate officer. For a partnership, a general partner. For a trust, the trustee. The signature attests that the signer has legal authority to act for the entity and that the information is accurate. Fill in the date of signature as well.
Where to Mail Form 8822-B
You cannot file Form 8822-B electronically. Mail a paper copy with an original signature to the correct processing center based on where the entity is located.5Internal Revenue Service. Where to File Form 8822-B
- Send to Kansas City, MO 64999 if the entity is in: Connecticut, Delaware, District of Columbia, Georgia, Illinois, Indiana, Kentucky, Maine, Maryland, Massachusetts, Michigan, New Hampshire, New Jersey, New York, North Carolina, Ohio, Pennsylvania, Rhode Island, South Carolina, Vermont, Virginia, West Virginia, or Wisconsin.

Mailing to the wrong center delays everything. Verify the address on the IRS “Where to File” page immediately before you send, because states occasionally get reassigned. Use certified mail or a tracked delivery service. The IRS will not confirm receipt, so your mailing receipt is the only proof that you filed on time.
After You File
Processing generally takes four to six weeks.3Internal Revenue Service. Form 8822-B – Change of Address or Responsible Party – Business During that window the IRS system still shows the old responsible party, so if you need to contact the agency about other tax matters, be ready to give both the old and new names so an agent can find the account.
No confirmation letter is sent when the change goes through. The practical signal is silence: if no rejection notice arrives within a couple of months, the update was likely accepted. To confirm affirmatively, call the IRS Business and Specialty Tax Line at 800-829-4933 and ask the agent to read back the current responsible party on file for your EIN.
Keep a copy of the completed form and the certified mail receipt in the entity’s permanent records. If the timing of the change is ever questioned, that receipt is the evidence.
What Happens If You Don’t Update the Responsible Party
The IRS has stated that there is no direct penalty for failing to file Form 8822-B.3Internal Revenue Service. Form 8822-B – Change of Address or Responsible Party – Business The real cost is missed mail.
Under 26 U.S.C. ยง 6212, a notice of deficiency mailed to the taxpayer’s last known address is legally sufficient even if the taxpayer never actually receives it.6Office of the Law Revision Counsel. 26 US Code 6212 – Notice of Deficiency The clock to petition the Tax Court runs from the day the IRS puts that notice in the mail, whether or not anyone at your entity ever sees it. Miss that deadline and the IRS assesses the additional tax; you lose the prepayment hearing that was your one chance to contest the deficiency, and penalties and interest accrue while the account sits.3Internal Revenue Service. Outdated information also causes friction with ordinary filings. If the signature on a return doesn’t match the responsible party the IRS has on file, the return may be pulled for additional review, and clearing that up usually means phone calls, identity verification, and weeks of waiting.
If the New Responsible Party Is a Foreign Individual
Line 9 requires a valid SSN, ITIN, or EIN. It cannot be left blank. If the incoming responsible party is a foreign individual without an SSN, they need an Individual Taxpayer Identification Number first, obtained by filing Form W-7.
Sequencing is what trips people up. ITIN processing can take seven weeks or longer, which is already longer than the 60-day reporting window. Start the Form W-7 as soon as the change is on the horizon, even before ownership formally transfers, so the ITIN is in hand when it’s time to submit Form 8822-B.
