Form 8974: Filing With Form 941 and Carrying Credit Forward

Form 8974 is the IRS form a qualified small business uses to apply its federal research and development credit against employer payroll taxes each quarter. You attach it to Form 941 (or Form 943 or Form 944), and it carries the elected credit from your income tax return over to the payroll side, up to $500,000 per year for tax years beginning after December 31, 2022.1Internal Revenue Service. It tracks how much you elected, how much you have used, and how much offsets this quarter’s Social Security and Medicare tax.

Who Can Use the Form

Only a Qualified Small Business (QSB) can file Form 8974. Two tests decide it, and both must be met in the same tax year:

  • Gross receipts for the tax year are under $5 million.
  • You had no gross receipts in any tax year before the five-taxable-year period ending with the current year. For a 2026 return, that means nothing before 2022.

Gross receipts are measured under Section 448(c)(3), so entities under common control combine their receipts against the $5 million line. Make the Election on Form 6765 First

Form 8974 is downstream. The election itself happens on Form 6765, attached to your timely filed income tax return (including extensions). Section D of Form 6765 is where you specify the dollar amount of your research credit to be applied against payroll taxes. Once filed, the election can be revoked only with IRS consent. Any research credit you did not elect for payroll use stays available as a regular income tax credit.3Internal Revenue Service. Instructions for Form 6765 – Credit for Increasing Research Activities

When You Can Start Claiming It

The first quarter you can claim the credit is the first calendar quarter that begins after you file the income tax return containing the Form 6765 election. Filing date matters, not tax year.4Internal Revenue Service. Instructions for Form 8974

File your 2025 return on March 10, 2026, and the first eligible quarter is Q2 2026 (April 1). You claim the credit on the Form 941 for that quarter, due July 31, 2026. The IRS instructions treat that first eligible quarter as the required starting point, not an option. Skipping it and picking up the credit later is not permitted; if you miss it, file Form 941-X for that quarter with a corrected Form 8974 attached.4Internal Revenue Service. Filling Out Part 1

Part 1 tracks the credit elected on each year’s income tax return and how much of that election is still available. It allows up to five lines, one per election year, with seven columns per line.4Internal Revenue Service. Instructions for Form 8974

  • Column (a): ending date of the income tax period, such as 12/31/2025.
  • Column (b): type of income tax return filed (1120, 1065, 1040, and so on).
  • Column (c): the date you actually filed that return.
  • Column (d): the EIN on Form 6765, if different from the EIN on this Form 8974.
  • Column (e): the elected credit from Form 6765, line 36. Cannot exceed $500,000 for tax years beginning after December 31, 2022.
  • Column (f): total credit from column (e) already used in prior quarters.
  • Column (g): column (e) minus column (f), the amount still available.

Line 6 sums column (g) across all election years. If you have unused amounts rolling forward from more than one year, the combined line 6 total can be higher than $500,000.4Internal Revenue Service. Instructions for Form 8974

Filling Out Part 2

Part 2 turns the available balance into an actual quarterly offset. The credit applies first to employer Social Security tax, then to employer Medicare tax, with any remainder carrying to the next quarter. The employee’s share of either tax and any withheld income tax are off-limits.5Internal Revenue Service. Research Credit Against Payroll Tax for Small Businesses

  • Line 7: total from Part 1, line 6, column (g).
  • Line 8: employer Social Security tax on wages from Form 941, line 5a, column 2.
  • Line 9: employer Social Security tax on tips from Form 941, line 5b, column 2.
  • Line 10: sum of lines 8 and 9.
  • Line 11: line 10 multiplied by 0.50, isolating the employer half.
  • Line 12: smaller of line 7 or line 11, capped at $250,000. This is the Social Security offset.
  • Line 13: line 7 minus line 12, the credit left for Medicare.
  • Line 14: employer Medicare tax from Form 941, line 5c, column 2.
  • Line 15: line 14 multiplied by 0.50.
  • Line 16: smaller of line 13 or line 15, the Medicare offset.
  • Line 17: sum of lines 12 and 16, the quarterly credit total.

Line 17 is the number that flows to your payroll tax return. Form 943 and Form 944 filers use the same structure, but the Social Security cap is $1 million per year rather than $250,000 per quarter.4Internal Revenue Service. Instructions for Form 8974

Attaching It to Form 941

Form 8974 is never filed by itself. Attach it to your quarterly Form 941 (or Form 943 or Form 944). The line 17 total goes on Form 941, line 11, labeled “Qualified small business payroll tax credit for increasing research activities,” and it reduces your total tax on line 12.6Internal Revenue Service. File a new Form 8974 each quarter until the elected credit is exhausted. Even when you expect nothing left, check the math before you stop. Rounding, wage swings, and prior-quarter adjustments can leave small balances that would otherwise be lost.

Carrying Unused Credit Forward

If your available credit is larger than the employer Social Security and Medicare tax for the quarter, the leftover carries to the next quarter. The statute provides for this rollover with no expiration, so the balance keeps moving forward until fully used.7Office of the Law Revision Counsel. 26 USC 3111 – Rate of Tax

On each new quarter’s Form 8974, column (f) reflects the cumulative amount used through prior quarters, and column (g) shows what remains. Part 2 recomputes the offset based on the new quarter’s payroll. Fixing Errors on a Filed Form 8974

To correct a Form 8974 already submitted, file the matching amended payroll return: Form 941-X, Form 943-X, or Form 944-X. Attach a corrected Form 8974. The usual mistakes are entering the wrong elected amount from Form 6765, miscounting the prior-period credit used in column (f), or missing the required first eligible quarter.4Internal Revenue Service.
