Whether an LLC gets a 1099 depends on how it’s taxed, not on the fact that it’s an LLC. If the LLC is taxed as a sole proprietorship or a partnership, you generally issue a 1099 when payments hit the reporting threshold. If it elected to be taxed as a C corporation or S corporation, you generally don’t. The only reliable way to tell which applies is to collect a Form W-9 before you pay.
Why Tax Classification Controls the Answer
An LLC is a state-law entity, not an IRS tax category. Every LLC either defaults to a tax treatment or elects a different one. A single-member LLC defaults to being a disregarded entity, taxed like a sole proprietorship. A multi-member LLC defaults to partnership taxation. That election is what drives 1099 reporting. Two LLCs performing the same consulting work can have different reporting outcomes based solely on which box each one checked with the IRS.
LLCs That Do Get a 1099
Any LLC that has not elected corporate status gets a 1099 when your payments cross the threshold. The general rule: if you pay $600 or more during the calendar year to a non-corporate entity for services performed in your trade or business, you file Form 1099-NEC.2Internal Revenue Service. The $600 is cumulative for the year, per recipient. Five separate $120 payments to the same LLC put you at exactly $600 and trigger the filing requirement.
Single-Member LLCs
A single-member LLC that hasn’t elected corporate status is treated as if it doesn’t exist for federal tax purposes. The owner reports the business income on Schedule C of their personal return.4Internal Revenue Service. The taxpayer ID number will typically be the owner’s Social Security number, though some owners have obtained an EIN for the LLC.
Multi-Member LLCs
A multi-member LLC defaults to partnership taxation and files its own Form 1065, with Schedule K-1s flowing income out to the members.5Internal Revenue Service. About Form 1065, U.S. Return of Partnership Income You issue the 1099 to the LLC itself, using its EIN, not to the individual members.
LLCs That Don’t Get a 1099

- Attorney fees of $600 or more for legal services, on Form 1099-NEC Box 1, even when the law firm is a corporation.
- Gross proceeds paid to attorneys in connection with legal services, on Form 1099-MISC Box 10, regardless of corporate status.
- Medical and health care payments of $600 or more to corporations providing those services, on Form 1099-MISC Box 6. Tax-exempt hospitals are not included.
- Cash payments of $600 or more to anyone in the business of catching fish, on Form 1099-MISC Box 11.
- Substitute payments in lieu of dividends or tax-exempt interest, on Form 1099-MISC Box 8.
- Payments by federal executive agencies for services, on Form 1099-NEC.
The attorney and medical carve-outs catch payers off guard most often. Hire a law firm organized as a corporate LLC to handle a dispute, and you still owe a 1099-NEC for the fees.
The Payment Method Exception
Payments made by credit card, debit card, or through a third-party payment network like PayPal, Venmo, or Stripe are not reported on Form 1099-NEC or 1099-MISC. Those transactions are reported on Form 1099-K by the payment processor.7Internal Revenue Service. The practical effect: pay a partnership LLC $10,000 by PayPal for consulting and you don’t file a 1099-NEC. Pay that same LLC $10,000 by check or ACH and you do. If you mixed methods during the year, only the check and bank-transfer portion counts toward what you report on the 1099-NEC.
How To Find Out: Collect a W-9 First
You cannot tell an LLC’s tax classification from its name, its website, or its state registration. Ask for a completed IRS Form W-9 before you pay. Read the W-9 and act on the box that’s checked:
- C Corporation or S Corporation: no 1099 needed unless the payment falls into one of the exception categories above.
- Individual, sole proprietor, or single-member LLC: issue a 1099 using the name and TIN on the form.
- Partnership: issue a 1099 to the LLC’s legal name and EIN.
Set a policy: no W-9, no payment. If a payee refuses to provide one, you’re required to begin backup withholding at 24% of each payment and remit that to the IRS.9Internal Revenue Service. Instructions for the Requester of Form W-9
Verifying the TIN Before Filing
You can validate the name and TIN combination through the IRS TIN Matching program, a free pre-filing service for authorized payers with both interactive and bulk options.10Internal Revenue Service. Electronic W-9 Collection
You can collect W-9s electronically, including by fax, if your system meets IRS requirements: it must ensure the received information matches what was sent, present the same content as the paper form, require an electronic signature under penalty of perjury, and be able to produce a hard copy on request.9Internal Revenue Service. Deadlines Once You Know You’re Filing
Form 1099-NEC is due to both the recipient and the IRS on January 31, whether you file on paper or electronically.7Internal Revenue Service. If you file 10 or more information returns of any type in a year, you must file electronically. The count aggregates across form types, so four 1099-NECs plus six 1099-MISCs triggers the mandate.11Internal Revenue Service. Publication 1099 General Instructions for Certain Information Returns (2026)
Penalties for Skipping a Required 1099
The IRS assesses per-return penalties for late, incorrect, or missing information returns. For returns due in 2026, the tiers are:12Internal Revenue Service. Information Return Penalties
- Filed within 30 days of the due date: $60 per return.
- Filed after 30 days but by August 1: $130 per return.
- Filed after August 1 or not at all: $340 per return.
- Intentional disregard: $680 per return with no annual maximum.
The intentional-disregard penalty can also equal 10% of the amount that should have been reported, whichever is greater than the $680 flat figure. On top of the IRS penalties, a missing 1099 can put the underlying business deduction at risk, since you may struggle to document the expense if audited.
The IRS can waive penalties for reasonable cause if you can show you acted responsibly before and after the failure and that it wasn’t willful neglect.13Internal Revenue Service.
