No, in most cases you do not issue a 1099 for rent paid to a corporation. If your landlord is organized as a C-corporation or S-corporation, rent payments to that entity are exempt from Form 1099-MISC reporting.1Internal Revenue Service. The catch is that “corporation” is a federal tax classification, not a name on a lease, so the answer holds only once you have confirmed the classification on a completed Form W-9.
The rule extends to any incorporated landlord, from a publicly traded REIT down to a small single-property S-corp. Size and industry do not matter. The reasoning is that corporations file their own detailed returns, so the IRS already sees their rental income without needing your information return.
Confirm the Corporate Status With a W-9
The exemption is only as reliable as the paperwork behind it. Before the first rent check goes out, collect a completed IRS Form W-9 from the landlord.2Internal Revenue Service. That classification field is the one that decides your 1099 obligation.
A verbal assurance is not enough. Get the form, check the box, and keep it on file.
The LLC Trap
LLCs cause most of the confusion. An LLC is a state-law entity that can be taxed as a sole proprietorship, partnership, C-corporation, or S-corporation, and the business name alone tells you nothing about which. On the W-9, an LLC checks the LLC box on Line 3a and writes a letter code for its tax treatment: “C” for C-corporation, “S” for S-corporation, or “P” for partnership.3Internal Revenue Service. Only the “C” and “S” codes get the corporate exemption. An LLC coded “P,” or a single-member LLC that has not elected corporate treatment, is unincorporated for 1099 purposes. Rent to that landlord must be reported.
When You Do Owe a 1099 for Rent
Three conditions have to line up before rent to any landlord triggers a 1099-MISC. The corporate exemption is one of them; the other two apply regardless of entity type.
First, the payment must be made in the course of a trade or business. Rent on your personal apartment or vacation home never requires a 1099, no matter how much you pay or who the landlord is.4Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC (Rev. April 2025)
Second, total rent to a single recipient during the calendar year must reach the reporting threshold. For 2026, the statutory threshold under 26 U.S.C. § 6041 is $2,000, raised from the longstanding $600 figure that many business owners still remember.5Office of the Law Revision Counsel. 26 U.S. Code 6041 – Information at Source Some IRS publications and web pages still show the older amount because they have not yet been updated. Third, the landlord must be unincorporated. Sole proprietors, general partnerships, individuals, and LLCs taxed as partnerships or disregarded entities all require a 1099-MISC once the threshold is met, with rent reported in Box 1.1Internal Revenue Service. One more scope note. “Rent” for 1099 purposes covers more than office space: machine and equipment rentals, warehouse leases, and pasture land all count.4Internal Revenue Service. April 2025) If a single contract bundles equipment use with an operator, the rental portion goes in Box 1 of the 1099-MISC and the operator’s labor goes in Box 1 of a 1099-NEC.
The Narrow Exceptions That Still Reach Corporations
A handful of payment types must be reported even when the recipient is incorporated. Rent is not one of them, so ordinary rent to a corporate landlord stays exempt. The exceptions matter only if your business makes other kinds of payments to the same or different corporate payees:
- Medical and health care payments of $600 or more to a corporation, reported in Box 6 of Form 1099-MISC.1Internal Revenue Service. Am I Required to File a Form 1099 or Other Information Return?
- Attorney fees paid to a law firm for legal services, reported in Box 1 of Form 1099-NEC even when the firm is incorporated. Gross proceeds paid to an attorney (such as settlement funds through a trust account) are reported separately in Box 10 of Form 1099-MISC.4Internal Revenue Service. - Substitute payments in lieu of dividends or tax-exempt interest, reported in Box 8 of Form 1099-MISC.
If the Landlord Won’t Provide a TIN
The exemption assumes you actually have a W-9 in hand. If a landlord refuses to furnish one, provides one without a taxpayer identification number, or the IRS notifies you of a TIN mismatch, backup withholding rules apply. You must withhold 24% of each rent payment and remit it to the IRS.6Internal Revenue Service. Publication 15 (2026), (Circular E), Employer’s Tax Guide Backup withholding applies regardless of the landlord’s entity type, so a “we’re a corporation” claim without a completed W-9 does not get the landlord off the hook, or you.

If You Do Owe a 1099: Deadlines and Penalties
When rent goes to an unincorporated landlord and clears the threshold, file Form 1099-MISC with rent in Box 1. The deadlines are:
- January 31 to furnish Copy B to the landlord.
- February 28 to file Copy A with the IRS on paper.

If a deadline falls on a weekend or federal holiday, it moves to the next business day. Paper filers submit each batch with Form 1096 as the summary transmittal.10Internal Revenue Service. About Form 1096, Annual Summary and Transmittal of U.S. Information Returns
Paper filing is now the exception. Any business filing 10 or more information returns in aggregate across all form types must file electronically, a threshold that took effect for tax year 2023.11Internal Revenue Service. Penalties for late or missing 1099s are per form, and the IRS assesses them separately for failing to file Copy A and failing to furnish Copy B. The 2026 schedule is:13Internal Revenue Service. Information Return Penalties
- Up to 30 days late: $60 per return.
- 31 days late through August 1: $130 per return.
- After August 1 or never filed: $340 per return.
- Intentional disregard: $680 per return, with no annual cap.
A single missed rent 1099 can therefore generate two penalties, one for each failure type. Filing a 1099 you did not strictly need to file carries no penalty. The exposure runs entirely the other direction, so when a landlord’s classification is unclear and you cannot get the W-9 resolved, filing is the safer error.
