Are Subscriptions 1099 Reportable? Vendor Type, Forms, and Penalties

Most subscriptions are not 1099 reportable. When you pay for software, cloud storage, a data feed, or a licensed content library, you’re buying a product, and product purchases sit outside the 1099 rules the same way office supplies or phone service do.1Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC A subscription only becomes reportable when the real thing you’re paying for is ongoing work by a person — an outside bookkeeper, a managed IT team, a marketing consultant on retainer — and even then, several other conditions have to line up before you actually file.

Product or Service: The Line That Decides It

The IRS requires a 1099-NEC when you pay $600 or more in a calendar year to a non-employee for services performed for your business.2Internal Revenue Service. Reporting Payments to Independent Contractors The trigger word is services. Buying a license to use software someone else already built is not a service to you. No one at Microsoft or Google is applying their labor to your business each month.

Common subscriptions that are not reportable:

  • SaaS platforms like Office 365, Google Workspace, QuickBooks Online, and Salesforce
  • Cloud storage and infrastructure like Dropbox, AWS, and Google Cloud
  • Licensed content — stock photo libraries, financial data feeds, news databases
  • Streaming, media, and trade publications

The recurring billing doesn’t change anything. A $12,000-a-year cloud subscription is a product purchase, just like $12,000 of office supplies bought across the year.

Now flip it. If real people are actively working on your account every month, the subscription label is just how you pay them. These are reportable once total payments reach $600:

  • Managed IT services — a monthly fee for a team that monitors, maintains, and troubleshoots your network
  • Outsourced bookkeeping or accounting on retainer
  • Marketing retainers with a freelance consultant running your campaigns
  • Legal advisory subscriptions with an outside attorney

A useful test: ask whether you’d still be paying if the humans stopped showing up. If the answer is no, you’re buying services.

Hybrid Subscriptions and Co-Working Memberships

Some subscriptions bundle software and human hours in the same monthly charge — a platform that gives you an analytics tool plus a dedicated strategy advisor, for example. The IRS hasn’t published a formula for splitting these. The practical approach is to identify what drives the value. If the software is what you’re really paying for and the consulting is a minor add-on, treating the whole payment as non-reportable is defensible. If the consulting is the core deliverable, report the full amount. When the mix is genuinely close to even, report it. There’s no penalty for filing a 1099 you didn’t strictly need to file, and there is a penalty for missing one you did.

Co-working memberships and virtual offices are a different question. If the subscription is really paying for space, it can qualify as rent, which goes on Form 1099-MISC (box 1) once you hit $600 for the year.3Internal Revenue Service. Payments routed through a real estate agent or property manager are not your problem to report; the agent handles the passthrough to the owner.

The Vendor’s Entity Type Can End the Question

Even when a subscription clearly pays for services, the vendor’s legal structure may take you out of the reporting rules entirely.

The Corporate Exemption

Payments to C-corporations and S-corporations are generally exempt from 1099 reporting.4Internal Revenue Service. Am I Required to File a Form 1099 or Other Information Return The incorporated managed IT firm you pay $2,000 a month doesn’t get a 1099-NEC from you.

Two exceptions override the exemption:

LLCs Depend on How They’re Taxed

An LLC’s reporting treatment turns entirely on its tax election. An LLC taxed as a C- or S-corporation gets the corporate exemption; an LLC taxed as a sole proprietorship (a “disregarded entity”) or as a partnership does not.5Internal Revenue Service. Foreign Vendors

Payments to foreign persons and entities don’t go on the 1099 series at all. They fall under a separate withholding regime. The vendor certifies foreign status on Form W-8BEN (individuals) or W-8BEN-E (entities).7Internal Revenue Service. Payments by Card or Third-Party Platform Shift the Obligation

This one catches businesses off guard. If you pay for a reportable service subscription using a credit card, debit card, or a third-party platform like PayPal, you generally do not issue a 1099-NEC. The payment processor reports those transactions on Form 1099-K, and the IRS specifically prohibits double reporting the same transaction on both forms.8Internal Revenue Service. Same $8,000 to the same freelance bookkeeper, different outcomes. Paid by check across the year, you file a 1099-NEC. Paid through PayPal, the reporting shifts to PayPal. So before you file anything, look at how you actually paid the vendor. Card and platform payments generally take you out of the 1099-NEC picture for that vendor, regardless of the amount.

Which Form, Which Box, By When

Once a subscription is reportable, the form depends on the category:

  • Form 1099-NEC, box 1 — nonemployee compensation for services, including attorney fees for legal services. This covers most reportable service subscriptions.
  • Form 1099-MISC, box 1 — rent of $600 or more, including qualifying co-working or office fees.
  • Form 1099-MISC, box 6 — medical and health care payments of $600 or more, even to incorporated providers.
  • Form 1099-MISC, box 10 — gross proceeds paid to an attorney in connection with legal services.

Form 1099-NEC is due January 31 of the following year for both the recipient copy and the IRS copy, with no automatic extension.1Internal Revenue Service. What It Costs If You Get It Wrong

The IRS charges separate penalties for failing to file the correct return with the IRS and for failing to furnish the correct statement to the payee. For the 2026 tax year, per-return amounts are:11Internal Revenue Service. Information Return Penalties

  • Up to 30 days late: $60 per return
  • 31 days late through August 1: $130 per return
  • After August 1 or not filed: $340 per return
  • Intentional disregard: $680 per return, with no cap

Each missed return counts separately, and the payer and payee penalties stack. Miss ten 1099-NECs and you’re starting at $600 and moving up from there. Filing a 1099 you didn’t strictly need to file carries no penalty at all, which is why reporting is the safe choice whenever a subscription is genuinely borderline.

Get the W-9 Before You Pay

Every vendor you might need to send a 1099 to should provide a completed Form W-9 before the first payment. The W-9 gives you the vendor’s taxpayer identification number and entity classification — the two pieces of information the reporting decision hinges on. If a vendor refuses to provide a W-9 or gives an incorrect TIN, you must withhold 24% of every payment and remit it to the IRS.6Internal Revenue Service. Instructions for the Requester of Form W-9

Backup withholding applies to payments that are reportable under the 1099 rules. For 2026, the aggregate payment threshold triggering backup withholding is $2,000, distinct from the $600 filing threshold.12Internal Revenue Service.
