A 1099 reports income you paid to someone outside your payroll; Form 1096 is the paper cover sheet that summarizes a batch of 1099s when you mail them to the IRS. That is the whole difference in one line. The 1099 goes to both the IRS and the recipient. The 1096 goes only to the IRS, only on paper, and only as a transmittal. If you file electronically, you never touch a 1096.
The practical questions that follow from the 1099 vs. 1096 distinction are which 1099 to use, who has to get one, when each is due, and what it costs to get it wrong.
What a 1099 Reports
The 1099 series tells the IRS about income paid to people and entities outside your payroll. You send one copy to the recipient and file another with the IRS. For most small businesses, two forms carry the load.
Form 1099-NEC
Form 1099-NEC covers payments of $600 or more for services performed by someone who is not your employee. Freelancer fees, commissions to independent salespeople, and professional service payments to contractors, accountants, architects, and engineers all belong here.1Internal Revenue Service. Attorney fees are the notable exception to another rule. When you pay a law firm for legal services performed for your business, report those fees in Box 1 of the 1099-NEC even if the firm is a corporation.1Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC (04/2025)
Form 1099-MISC
Form 1099-MISC handles payments that are not compensation for services. File it when you pay at least $600 in rent, prizes, awards, other income payments, or medical and health care payments during the year. Gross proceeds paid to an attorney go on the 1099-MISC in Box 10. These are payments connected to legal services but not for the attorney’s own work, such as settlement funds you route to a plaintiff’s lawyer. The $600 threshold applies.1Internal Revenue Service. What a 1096 Does
Form 1096 is a summary transmittal sheet that accompanies paper 1099s, along with other information returns like 1098s and W-2Gs, when you mail them to the IRS.3Internal Revenue Service. About Form 1096, Annual Summary and Transmittal of U.S. Information Returns It lists the total number of forms enclosed and the combined dollar amount reported. You never send a 1096 to a payment recipient.
You need a separate 1096 for each type of form you file. Mailing both 1099-NEC and 1099-MISC forms means two 1096 transmittal sheets, one for each batch. File electronically and the 1096 falls out of the picture; the electronic system generates its own summary data.
Who Needs a 1099
The basic trigger: if your business paid a non-employee $600 or more during the calendar year, you likely owe a 1099.4Internal Revenue Service. Am I Required to File a Form 1099 or Other Information Return? Three limits are worth knowing.
Corporations. You generally do not send a 1099 to a corporation, including an LLC taxed as a C or S corporation. The exceptions are payments for legal services and payments by federal executive agencies, both reportable regardless of corporate status.1Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC (04/2025) Knowing the payee’s entity type before you decide is why a W-9 up front matters.
Employees. A 1099-NEC is only for non-employees. If the worker is actually an employee, their pay belongs on a W-2 with payroll tax withholding. The IRS weighs behavioral control, financial control, and the nature of the relationship to draw the line, with no single factor decisive.5Internal Revenue Service. Personal payments. The filing requirement applies only to payments made in the course of your trade or business. Hire a plumber to fix a pipe at your home and no 1099 is owed.4Internal Revenue Service. Am I Required to File a Form 1099 or Other Information Return?
Filing Deadlines
The 1099-NEC has one hard deadline: January 31 of the year after payment. That date applies both to furnishing the recipient copy and to filing with the IRS, on paper or electronically.6Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC (Rev. April 2025) No automatic extension.
The 1099-MISC gives you more room on the IRS side. Recipient copies are still due January 31, but the IRS filing deadline is February 28 on paper or March 31 electronically.1Internal Revenue Service. Instructions for Forms 1099-MISC and 1099-NEC (04/2025) When a deadline lands on a weekend or legal holiday, it shifts to the next business day.
The 1096 does not have its own separate deadline. Because it is a cover sheet, it is due whenever the paper 1099s it accompanies are due.
Many states also require a 1099 copy. Some participate in the IRS Combined Federal/State Filing Program, which forwards data to participating state agencies automatically.7Internal Revenue Service. Paper Filing vs. Electronic Filing
How you submit to the IRS determines whether a 1096 enters the picture at all.
Paper
Paper filing requires official IRS forms printed with special red ink for scanning. You cannot download and print them from the IRS website. Arrange completed 1099 copies alphabetically by payee name, attach the matching Form 1096 for each form type, and mail the package to the IRS Submission Processing Center for your region. Paper is only an option if you are filing fewer than 10 information returns for the year.8Internal Revenue Service. Topic No. 801, Who Must File Information Returns Electronically
Electronic
Electronic filing is mandatory if you are required to file 10 or more information returns of any type during the calendar year. The count aggregates across all return types, including W-2s filed with the Social Security Administration.9Internal Revenue Service. E-File Information Returns The old threshold was 250 returns per form type, so update your process if you have been relying on that number. E-filing generates its own transmittal data, so there is no 1096 to prepare.
The IRS offers two electronic systems. The legacy Filing Information Returns Electronically (FIRE) system requires specialized software and a Transmitter Control Code.10Internal Revenue Service. Penalties for Late or Missing Forms
The IRS imposes per-form penalties under IRC 6721 for late filing with the IRS and IRC 6722 for late delivery to the recipient. Both use the same tiered structure, and the amounts for returns due in 2026 are:11Internal Revenue Service. Information Return Penalties
- Up to 30 days late: $60 per form
- 31 days late through August 1: $130 per form
- After August 1 or never filed: $340 per form
- Intentional disregard: $680 per form with no annual cap
Annual maximums apply at each tier for non-intentional failures, with lower caps for small businesses. Only the intentional-disregard penalty has no ceiling. At $680 per form with no maximum, a business that deliberately skips filings on 50 contractors faces $34,000 in penalties before interest or other consequences enter the picture.12Internal Revenue Service. 20.1.7 Information Return Penalties
These penalties stack. Filing late with the IRS triggers one penalty; furnishing the recipient copy late triggers a separate penalty on the same schedule. A form that misses both deadlines costs twice.
How to Correct Mistakes
Errors happen: a transposed TIN, the wrong dollar amount. The IRS wants corrections as soon as you catch the mistake, and the process tracks how you originally filed.13Internal Revenue Service. General Instructions for Certain Information Returns
For paper corrections, prepare a new 1099 with the corrected information and check the “CORRECTED” box at the top. Attach a new Form 1096 for the batch of corrections and mail both to your IRS Submission Processing Center. Do not include a copy of the original incorrect form. You do not need to correct a previously filed 1096 on its own; the new 1096 accompanying your corrected 1099s replaces the summary data.13Internal Revenue Service. For electronic corrections, submit through the same system you used originally. Send a corrected copy to the recipient too, so their records match what the IRS has on file. Correcting promptly can reduce or eliminate late-filing penalties when the original was timely but contained errors.
